Our services include interior design consultation, planning, and specification. We do not provide construction, renovation, or project management services unless explicitly agreed in writing.

3.1 Engagement Process

• Written proposal outlining scope, timeline, and fees
• Signed agreement before work commences
• Regular communication throughout project duration

3.2 Payment Terms

• Fees as specified in service agreement
• Payment schedule: typically 50% deposit, 50% upon completion
• Accepted payment methods: bank transfer, PayNow
• Late payments may incur interest charges

3.3 Cancellation and Refunds

• Cancellation must be communicated in writing
• Deposits are non-refundable
• Refunds for work not yet completed will be prorated
• Cancellation within 48 hours of scheduled consultation may forfeit fees

3.4 Project Timeline

Estimated timelines are provided in good faith but are not guaranteed. Delays may occur due to factors beyond our control, including client revisions, material availability, or contractor schedules.

5.1 Design Ownership

All designs, drawings, specifications, and concepts remain the intellectual property of sphere des until full payment is received. Upon full payment, clients receive a license to implement the design for their specific project only.

5.2 Website Content

All content on our website, including text, images, logos, and designs, is protected by copyright and trademark laws. Unauthorized reproduction or use is prohibited.

5.3 Portfolio Usage

We reserve the right to photograph completed projects and use images in our portfolio, marketing materials, and website unless otherwise agreed in writing.

7.1 Service Disclaimer

Services are provided "as is" without warranties of any kind. We do not guarantee specific outcomes or that designs will meet all expectations. Results depend on implementation quality, material selection, and factors beyond our control.

7.2 Implementation Disclaimer

We are not responsible for errors made by contractors, suppliers, or craftsmen during implementation. Clients engage these parties at their own risk and should verify their qualifications.

7.3 Limitation of Liability

Our liability is limited to the fees paid for services. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption.

7.4 Third-Party Links

Our website may contain links to third-party websites. We are not responsible for their content, privacy practices, or services.

8.1 Informal Resolution

We encourage informal resolution of disputes. Please contact us first to discuss any concerns.

8.2 Mediation

If informal resolution fails, parties agree to attempt mediation before pursuing formal legal action.

8.3 Jurisdiction

These terms are governed by Singapore law. Any disputes will be resolved in Singapore courts.

8.4 Arbitration

For disputes exceeding SGD 10,000, parties may agree to binding arbitration under Singapore International Arbitration Centre rules.

9.1 By Client

Clients may terminate services with written notice. Fees for work completed will remain payable. Deposits are non-refundable.

9.2 By sphere des

We may terminate services if clients violate these terms, fail to make timely payments, or behave inappropriately toward our staff.

9.3 Effects of Termination

Upon termination, all outstanding fees become immediately due. Clients receive work completed to date but may not use incomplete designs.

11.1 Entire Agreement

These terms, together with any signed service agreement, constitute the entire agreement between parties.

11.2 Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full effect.

11.3 No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right.

11.4 Assignment

Clients may not assign their rights or obligations without our written consent. We may assign our rights to affiliated entities.
